TERMS ACCEPTANCE
Welcome to Crystal Bot (hereinafter referred to as the "Platform" or "Mobile Application"). Crystal Bot is a website and mobile-based client communication integration platform owned and operated by Crystalpay Fintech Private Limited
This document constitutes a legally binding agreement between you (the "User") and us regarding your access to and use of our platform, including our associated websites, services, applications, products, and content (collectively, the "Services").
By using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. You accept these terms when you:
- Click the "I Agree" button
- Use the Platform or any of its Services
- Create a registered account on the Platform
This document is considered an electronic record under the Information Technology Act, 2000, and relevant rules. It does not require a physical or digital signature.
Eligibility
- You must be at least 18 years old to access and use the Platform.
- The Services are intended for organizations, entities, and businesses. They are not meant for personal or consumer use.
- If you are using the Services on behalf of a company or organization, you confirm that you have the authority to accept these terms on their behalf.
If you do not agree with these Terms, please stop using the Platform immediately.
CRYSTAL BOT SERVICES
Crystal Bot provides a cloud-based, secure, and user-friendly client communication integration software, enabling businesses to integrate their communications via the WhatsApp Business API.
Key Features
- Chatbot – Set up an AI-powered chatbot for automated customer interactions.
- Multiple Agents – Add team members to manage customer conversations.
- Private Notes – Employees can add internal notes to contacts or chats for reference.
- Content Sharing – Send text messages, images, videos, locations, and other media.
- WhatsApp Message Templates – Create and use pre-approved WhatsApp message templates for customer communication.
Since Crystal Bot relies on WhatsApp Business API, any changes or disruptions in the WhatsApp service may impact our platform. We do not control the technical configuration or availability of WhatsApp services.
Business Use Only
- Crystal Bot Services are meant strictly for business use and not for personal or household purposes.
- Users are responsible for securing their own internet access and ensuring they have the necessary hardware/software to use the Platform.
SIGN-UP AND ACCOUNT REGISTRATION
To access Crystal Bot Services, follow these steps:
1. Visit www.crystalbot.in
2. Enter your business email and mobile number to sign up for a free trial.
3. Link your WhatsApp number to our system to explore the platform’s features.
4. Provide necessary business details, including:
- Organization name and address
- Business purpose and category
- Contact details and website (if applicable)
5. Apply for WhatsApp Business API through Crystal Bot’s platform.
6. Our team will guide you through the onboarding process and demos.
7. If you proceed with the signup, we will send you an Onboarding Guide (Google Form) to collect your business information, including company documents, utility bills, and social media details.
8. Submit the completed form. We will forward it to WhatsApp for review and approval.
9. Once approved, you will receive an OTP and a sign-up link via WhatsApp.
10. Use the link to create an account and start using Crystal Bot Services.
ACCOUNT REGISTRATION & MAINTENANCE
Once registered, you will receive a username and password for your account. You are responsible for:
- Keeping your login credentials secure.
- Ensuring the accuracy of the information provided.
- Updating your details as needed.
- Not sharing your account with unauthorized individuals.
We reserve the right to suspend or terminate your account if we find inaccurate or misleading information.
Password & Security
- You must not disclose your password to anyone./li>
- If you suspect any unauthorized use, notify us immediately.
- If we detect security risks, we may temporarily suspend your account and notify you.
THIRD-PARTY COMMUNICATIONS
• By providing your email and contact details, you consent to receive service notifications, updates, and marketing messages.
• You can opt out of marketing emails, but service notifications (such as security alerts) cannot be disabled.
• We are not responsible for any communications from third-party services connected to the platform.
ACCOUNT DELETION & TERMINATION OF PLATFORM ACCESS
We reserve the right to disable your account under the following circumstances:
1) Failure to comply with these Terms of Use or WhatsApp Business Policies.
2. Activities that, at our sole discretion, may cause harm to us, the platform, or its services, including violations of third-party rights, laws, or regulations.
3) Engaging in conduct deemed inappropriate or unacceptable by us.
4) Non-payment of subscription or usage fees.
5) Any other reason determined solely by us.
Additionally, if you initiate legal claims against us or involve the platform in any legal disputes, we may suspend or terminate your access. This does not waive our rights or claims against you for any breaches.
If your access is terminated, these Terms of Use will remain enforceable. You are not permitted to create a new account using your name, a fake or borrowed name, or a third party’s name without our written consent.
To request account deletion, email support@crystalbot.in. Account termination will only proceed after reviewing pending subscription fees. We may retain your registration data in an anonymous form as required by law.
Any clauses that, by their nature, should survive termination will remain in effect.
YOUR CONSENT
By using our platform, you fully and unconditionally consent to:
1) Your account information being stored in our database.
2) Your information being shared with third-party entities we engage with commercially.
3) Your data being shared in its original or aggregated form with third parties, partners, licensors, and affiliates.
4) Receiving third-party links, advertisements, and promotional messages from us.
5) Receiving calls and messages about our services, including promotions and updates, if you provide your contact details.
SUBSCRIPTION PLAN:
To access Crystal Bot services, users must select a subscription plan from our pricing page and pay the corresponding fee (“Subscription Fee”).
- Fees are payable monthly, quarterly, half-yearly, or annually within seven (7) days of invoice issuance.
- Subscriptions auto-renew unless canceled with at least 30 days’ written notice before the renewal date.
- Payments are non-refundable, and obligations are non-cancelable, regardless of service usage.
- Accepted payment methods include Razorpay and Stripe, supporting credit cards, debit cards, net banking, and UPI.
- If payments are overdue for 30+ days, access may be suspended until dues are cleared.
- Subscription Fees exclude applicable taxes, which users are responsible for paying.
- WhatsApp Business API charges for Template Messages or Conversations are billed separately, payable within 7 days of invoicing.
Plan Upgrades & Downgrades:
- Downgrading may result in loss of features or service capacity.
- Upgrades take effect immediately, with pro-rated charges for the current month.
WHATSAPP BUSINESS API
Crystal Bot partners with WhatsApp Business Service Providers to offer services via WhatsApp API. By using our platform, you agree to:
• Comply with WhatsApp’s policies:
• Accept that WhatsApp may modify its policies at any time.
• Not reuse your WhatsApp number registered on Crystal Bot with other similar platforms or the WhatsApp Business App.
WhatsApp Policy Violations:
• WhatsApp may suspend accounts for excessive negative feedback, policy violations, or harming its platform.
• If your account is terminated, your organization may be banned from future WhatsApp Business API access.
• Crystal Bot is not responsible for policy violations or additional charges from WhatsApp.
WHATSAPP MESSAGE TEMPLATE
• WhatsApp determines acceptable message types and may update its policies without notice.
• Only pre-approved templates may be used for initiating conversations.
• WhatsApp reserves the right to review, approve, or reject message templates at any time.
• Conversation-based pricing applies as of February 1, 2022.
SERVICE ACCESS & PLATFORM USE
Users must not use the platform to host, display, upload, or share:
- Content owned by others without permission.
- Defamatory, obscene, pornographic, or harassing content.
- Content harmful to children.
- Intellectual property violations.
- False, misleading, or impersonating information.
- Content that threatens national security, public order, or incites crime.
- Software viruses or harmful code.
- Private third-party information without consent.
Users are also prohibited from:
- Disrupting services, networks, or real-time exchanges.
- Engaging in fraudulent, illegal, or unauthorized activities.
- Reverse-engineering, modifying, or distributing the platform’s software.
- Using the platform for spamming, solicitation, or unauthorized commercial use.
- Impersonating others or misrepresenting affiliations.
Failure to comply may result in account termination without notice.
Third-Party Content & Links
- Our platform may contain third-party content and links, for which we hold no responsibility.
- You assume all risks associated with third-party interactions.
PERSONAL DATA PROTECTION
We handle your Registration Data as follows:
- Data will only be used for service provision.
- We will not disclose data to third parties without prior consent, except as required by law.
- We implement security measures to protect your data.
- In case of data breaches, we will take corrective actions and notify you promptly.
INTELLECTUAL PROPERTY & PLATFORM LICENSE
All content on the platform, including text, graphics, logos, images, software, and technology, is protected intellectual property owned by us, our affiliates, or licensors.
Your License:
We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the platform for personal use. You may not:
- Modify, distribute, sell, or create derivative works from the platform’s content.
- Use the platform for unauthorized commercial purposes.
Restrictions on Use
You are strictly prohibited from reusing the Services of our Platform or systematically extracting any portion of its content. You may not use automated tools such as robots, data mining software, or extraction tools for reutilization. Additionally, without our prior written consent, you may not create, publish, or distribute any material incorporating parts of our Platform, including our Services and pricing details.
The trademarks "Crystal Bot" along with their respective logos and local language variants, are the exclusive property of Crystalpay Fintech Private Limited and are legally protected. Unless expressly authorized in these Terms of Use or granted written permission by us, you are not permitted to use any Crystalpay Fintech Private Limited trademarks or intellectual property in press releases, advertisements, promotional materials, or any form of media, whether written, oral, electronic, or visual.
Any references to third-party trademarks on our Platform, including those of payment service providers or other service providers, are solely for identification purposes and do not imply their endorsement of the Platform or its Services. These Terms of Use do not grant you any rights to use such third-party trademarks.
Representations and Warranties
By using our Platform, you represent and warrant that:
- You have the legal authority and capacity to enter into and comply with these Terms of Use.
- You will not misuse or exceed the intended functionality of the Services.
- You will not attempt unauthorized access to the Services, servers, networks, or computer systems associated with our Platform.
- You will not use the Services in any way that may harm, impair, or disrupt our systems, security, or infrastructure.
- You will not use the Services for illegal activities, including but not limited to copyright infringement, data theft, or fraud.
- You will not use any intellectual property displayed on the Platform for personal or third-party gain without our explicit consent.
- You will not modify, adapt, translate, or reverse-engineer any aspect of the Services, including the creation of mirror sites or shadow platforms.
- If your mobile number is registered on the Do Not Disturb/National Consumer Preference Register List of the Telecom Regulatory Authority of India (TRAI), you will notify us promptly upon registration.
- You acknowledge that any calls or messages received from us on your registered mobile number are not unsolicited.
- You will not engage in any actions that could create liability for us or cause us to lose services from our internet service providers (ISPs), business partners, suppliers, or vendors.
Confidentiality
Each party acknowledges and agrees to the following regarding Confidential Information:
- All Confidential Information remains the sole property of the party disclosing it ("Disclosing Party").
- The receiving party ("Receiving Party") shall only use Confidential Information for the purposes outlined in this agreement.
- The Receiving Party shall not disclose Confidential Information to any third party, except authorized employees, officers, contractors, or service providers who require access to fulfil the agreement. These individuals must be bound by confidentiality obligations.
- Upon termination of the agreement or upon request, the Receiving Party must return or destroy all Confidential Information, subject to legal and record-keeping requirements.
- Confidential Information does not include information that:
a. Becomes publicly available through no fault of the Receiving Party.
b. Was lawfully in the Receiving Party’s possession prior to disclosure.
c. Is obtained from a third party without confidentiality obligations.
d. Must be disclosed under applicable law, court orders, or government regulations. If such disclosure is required, the Receiving Party must notify the Disclosing Party and allow reasonable time to challenge or limit the disclosure.
Disclaimer of Warranties
Your use of the Platform is at your own risk. The Platform and its Services are provided on an "as is" basis, without warranties of any kind, either express or implied.
We make no guarantees regarding the accuracy, reliability, completeness, or availability of Services provided through the Platform or third-party services linked to it. We assume no liability for:
- Errors, inaccuracies, or service disruptions.
- Personal injury or property damage arising from your use of the Platform.
- The uninterrupted or error-free operation of the Platform.
- The reliability or correctness of information obtained through the Platform.
- The security of personal data you provide.
We do not endorse, guarantee, or assume responsibility for any third-party service advertised or offered through the Platform, including those linked via banners or other advertisements. We are not responsible for any transactions between you and third-party providers of goods or services.
Additionally, we do not warrant that the Platform is free from viruses, malware, or harmful components. We reserve the right to modify, suspend, withdraw, or restrict access to all or part of the Platform at any time without prior notice.
Limitation of Liability
To the maximum extent permitted by law, we and our affiliates, licensors, employees, directors, agents, and partners shall not be liable for:
- Any direct, indirect, incidental, consequential, special, or exemplary damages arising from your use or inability to use the Platform.
- Loss of profits, business opportunities, goodwill, or data, even if we have been advised of such potential losses.
- Any loss or damage resulting from reliance on advertisements or third-party interactions on the Platform.
- Any modifications, suspensions, or discontinuation of Services.
- Any unauthorized access, loss, or corruption of data.
If we provide software updates or guidelines to prevent potential damage and you fail to follow them, we are not liable for any resulting losses.
You are responsible for any mobile or data charges incurred while using our Services. Any disputes with third parties arising from your use of the Platform (e.g., carriers, copyright owners, or other users) must be resolved directly with those parties. You release us from any related claims or damages.
Indemnity
By using our Platform, you agree to indemnify, defend, and hold harmless us, our affiliates, licensors, employees, and service providers from any losses, damages, liabilities, or costs arising from:
- Your use of the Platform.
- Your breach of these Terms of Use.
- Any claim that your use of the Services infringes third-party rights.
- Your violation of applicable laws.
Nothing in these Terms shall exclude or limit liability that cannot be excluded under applicable laws in India. Your statutory rights remain unaffected.
General Provisions
- All notices must be sent via email to us or to the email/postal address you provided.
- A waiver of any right under these Terms must be in writing and does not constitute a waiver of any future rights.
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.
- These Terms do not create an employment, contractor, agency, or partnership relationship between you and us.
- These Terms, along with our Privacy Policy, constitute the entire agreement governing your use of the Platform.
Governing Law & Jurisdiction:
These Terms shall be governed by the laws of
India, and any disputes shall be subject to the
exclusive jurisdiction of the courts in Agra Uttar Pradesh
